Terms of Service

1. Introduction

Welcome to AdeptMath (the "Service"), an educational platform provided by Growth Education Limited ("we," "our," or "the Company"). The Company is a limited company incorporated under the laws of the Hong Kong Special Administrative Region ("Hong Kong"), with its registered address in Hong Kong.

By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, please do not use our Service.

2. Definitions

In these Terms:

• "User," "you," and "your" refer to the individual or entity accessing or using the Service.
• "Content" means all information, text, images, videos, audio, data, or other materials appearing on the Service.
• "User Content" means any content that users submit, upload, post, or transmit to the Service.
• "AdeptMath Content" means content that we create and make available.

3. Use of the Service

3.1 User Eligibility

4. Intellectual Property

4.1 Our Intellectual Property

The Service and AdeptMath Content are protected by the Copyright Ordinance (Cap. 528) of Hong Kong and other applicable intellectual property laws. Unless explicitly permitted by these Terms, you may not copy, modify, create derivative works, publicly display, publicly perform, republish, download, store, or transmit any AdeptMath Content.

4.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and AdeptMath Content solely in accordance with these Terms.

4.3 User Content

You retain all rights to your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, copy, modify, create derivative works, distribute, publicly display, and publicly perform your User Content solely for the purpose of providing and improving our Service.

5. Privacy

We collect and use your personal data in accordance with our Privacy Policy, which complies with the requirements of the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong. By using our Service, you consent to our collection and use of your personal data as described in the Privacy Policy.

6. Payment and Refunds

Use of certain features of the Service may require payment. All payments are denominated in Hong Kong Dollars (HKD) and processed through our designated payment processors.

6.1 Refund Policy

All purchases are final and non-refundable unless otherwise required by applicable law. If you believe you are entitled to a refund, please contact our customer support.

6.2 Taxes

You are responsible for paying all applicable taxes associated with your use of the Service. If we have a legal obligation to collect such taxes, we will charge you the corresponding amount.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Growth Education Limited and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of or inability to use the Service, including loss of profits, loss of goodwill, loss of data, or other intangible losses.

Our total liability to you shall not exceed the greater of the amount you have paid for the Service in the 12 months preceding the event giving rise to the claim or HKD 100.

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages, so the above limitations may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless Growth Education Limited and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your violation of these Terms, applicable law, or third-party rights.

9. Dispute Resolution

These Terms shall be governed by the laws of Hong Kong, without regard to its conflict of law principles. Any dispute related to these Terms shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

10. Termination

We may terminate or suspend your access to the Service at any time, for any reason or for no reason, including if you violate these Terms.

You may terminate these Terms by ceasing to use the Service and deleting your account.

Upon termination, your right to use the Service will immediately cease. Sections 4, 5, 7, 8, 9, and 11 will survive termination.

11. Miscellaneous

11.1 Entire Agreement

These Terms constitute the entire agreement between you and Growth Education Limited regarding the Service and supersede any prior or contemporaneous written or oral agreements.

11.2 Modifications to Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service or by other means. Your continued use of the Service after the changes take effect constitutes your acceptance of the modified Terms.

11.3 Waiver and Severability

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

11.4 Assignment

You may not assign or transfer these Terms or any of your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms.

11.5 Force Majeure

We will not be liable for any failure to perform our obligations under these Terms if such failure is caused by circumstances beyond our reasonable control, including but not limited to natural disasters, terrorist attacks, civil unrest, war, governmental actions, or failures of internet or service providers.
